Welcome to Universal Yums. Universal Yums operates this Shopify-powered store and website, including the associated content, information, tools, products, features, and services, collectively called the “Services.” In these Terms, “we,” “us,” and “our” mean Universal Yums. Shopify enables Universal Yums to make the Services available. Read the entire agreement because it establishes legal rights and duties and includes important warranty disclaimers and liability limits.

We try in good faith to display and describe products and services accurately. Device, monitor, and display settings can change how colors or appearance are perceived, so we do not warrant an exact match between an online image and what is received or that every quality expectation will be met.

Submitting an order constitutes an offer to buy. Universal Yums may accept or refuse that offer for any reason in its discretion, and acceptance does not occur until Universal Yums confirms it. Payment must be received and processed before an order is accepted. Check all details before submission because Universal Yums may be unable to accommodate a cancellation request after acceptance.

If an order is refused, changed, or cancelled, we will attempt notice using the email, billing address, or telephone details supplied with it. Purchases may be returned or exchanged only under the Refund Policy. You represent that purchases are for personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices, discounts, and promotions can change without notice. The amount charged is the amount in effect when the order is placed and shown in its confirmation. Unless a listing expressly says otherwise, displayed prices exclude taxes, shipping, handling, customs, and import charges. Prices on our website can differ from those at physical stores or third-party stores.

A promotion may have separate conditions; if those conditions conflict with these Terms, the promotion conditions control. You further represent that card details are truthful and complete, you are authorized to use the card, its issuer will honor the charges, and you will pay posted prices together with applicable shipping, handling, and taxes.

SECTION 5 - SHIPPING AND DELIVERY

Shipping and delivery timeframes are estimates rather than guarantees, and we are not liable for delay. Carrier operations, customs processing, and events outside our control may affect arrival. Title and the risk of loss pass to you once products are transferred to the carrier.

Universal Yums is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Universal Yums. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Universal Yums, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Universal Yums.

Personal information collected through the Services is governed by our Privacy Policy. Certain information may separately fall under Shopify's Privacy Policy. Using the Services acknowledges that you have read those notices.

Provisions concerning Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any clause that by its nature should survive will remain effective.

TO THE FULLEST EXTENT THE LAW ALLOWS, UNIVERSAL YUMS, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AND SHOPIFY AND ITS AFFILIATES, ARE NOT LIABLE FOR ANY INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGE. COVERED HARM INCLUDES LOST PROFIT, REVENUE, SAVINGS, OR DATA, REPLACEMENT COSTS, AND COMPARABLE LOSS, WHETHER THE THEORY IS CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE. THE LIMIT APPLIES TO SERVICE USE, PRODUCTS PROCURED THROUGH A SERVICE, CONTENT ERRORS OR OMISSIONS, AND LOSS CONNECTED WITH CONTENT OR PRODUCTS POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE, EVEN WHEN THE POSSIBILITY OF DAMAGE WAS ADVISED.

We will notify you of an indemnifiable claim. A notice delay relieves your obligation only to the extent it materially prejudices you. At your expense, we may control defense and settlement, including selecting counsel, but will not accept a settlement that imposes a non-monetary obligation on you without consent, which must not be unreasonably withheld. These Terms and any separate agreement through which we provide Services are governed and construed according to the federal and state or territorial courts in the jurisdiction where Universal Yums is headquartered. You and Universal Yums consent to personal jurisdiction and venue in those courts.
